With effect from 01.01.2015, sections 1175 – 1216e ABGB were reformed by the GesbR Reform Act. For companies founded after 01.01.2015, all provisions must be applied without restriction immediately from the date of entry into force. For existing companies , the shareholders can choose an option model. If none of the shareholders make a declaration within one year of the GesbR-RG coming into force that they wish to retain the previously applicable law, the new legal situation will also apply to these companies from July 1, 2016. In the event of an “opting out” (it is sufficient for one shareholder to object), the entire new internal law will only apply to existing companies from 01.01.2022.
